These Terms of Service ("Terms") are a binding agreement between you and Supernal Intelligence, Inc. ("Supernal", "we", "us", or "our") governing your use of all Supernal Coding products and services, including the desktop application, web dashboard, CLI tools, AI agent features, and related APIs (collectively, the "Services").

By installing, accessing, or using the Services, you agree to these Terms in full. If you do not agree, do not use the Services. These Terms incorporate our Privacy Policy by reference.

1. AI Agents — Capabilities and Your Responsibility

Supernal Coding enables AI agents to act autonomously on your behalf. This is the most important section of these Terms. Please read it carefully.

What agents can do

Depending on your configuration and the permissions you grant, agents may:

  • Read, create, modify, and delete files and directories on your local filesystem
  • Execute shell commands, scripts, and programs in your terminal environment
  • Make API calls to third-party services using credentials you provide (including AI providers, GitHub, cloud services, and others)
  • Send messages on your behalf through connected platforms (Slack, Discord, email, and others)
  • Access and interact with web content through browser integration tools
  • Incur costs with third-party API providers using your API keys

You are responsible for agent actions

You are solely responsible for all actions taken by agents you configure and deploy. This includes:

  • Any files created, modified, or deleted by agents
  • Any commands executed in your environment
  • Any API costs incurred through your API keys
  • Any messages or content sent by agents on your behalf
  • Any consequences of agent behavior in connected systems

Supernal is not liable for unintended agent actions, data loss, API overage costs, or any consequences of agent behavior — regardless of whether the behavior was caused by a software bug, prompt injection, model error, or misconfiguration.

Prompt injection risk

AI agents can be manipulated by malicious content in files, web pages, or messages they process. This is a known risk of AI systems called "prompt injection." You are responsible for understanding this risk and limiting agent permissions to what is necessary for your use case. We recommend granting agents the minimum permissions required and reviewing agent actions before granting access to sensitive systems.

Irreversible actions

Some agent actions cannot be undone (deleting files, sending messages, publishing code, making purchases). We recommend using version control, backups, and staged environments. Supernal is not responsible for irreversible actions taken by agents.

Credential security and shared machines

You are responsible for keeping your API keys, credentials, and account access secure. API keys provided to agents are accessible within that agent session. Do not run Supernal Coding on shared or multi-user computers without appropriate access controls. Other users of a shared machine may be able to access your agent sessions, credentials, or workspace data. Supernal is not liable for credential exposure, unauthorized access, or data disclosure resulting from shared machine use or failure to secure your credentials.

2. License and Access

License grant

Subject to these Terms, Supernal grants you a limited, non-exclusive, non-transferable, non-sublicensable license to install and use the Services on your devices for your internal business or personal purposes.

License restrictions

You may not:

  • Copy, modify, or distribute the Services except as expressly permitted
  • Reverse engineer, decompile, or disassemble the Services
  • Use the Services to build a competing product
  • Share your license key or account credentials with others
  • Use the Services in violation of any applicable law or regulation
  • Use the Services to harass, harm, or defraud others
  • Attempt to bypass or circumvent license enforcement mechanisms

License key terms

License keys are machine-bound using hardware fingerprinting. A single-seat license may be activated on a limited number of machines as specified in your plan. Attempting to circumvent machine binding constitutes a material breach of these Terms.

3. Acceptable Use

You agree not to use the Services to:

  • Violate any applicable local, state, national, or international law or regulation
  • Conduct unauthorized access to computer systems or networks
  • Develop, distribute, or deploy malware, ransomware, or other malicious software
  • Engage in or facilitate illegal surveillance, tracking, or stalking
  • Generate or distribute content that is illegal, defamatory, or infringes third-party rights
  • Automate attacks, spam, or abuse against individuals or services
  • Evade detection by security software or law enforcement
  • Process data of individuals without appropriate legal basis

Using AI agents to perform actions that would otherwise be prohibited is equally prohibited. Agent automation does not exempt you from these restrictions.

4. Beta Software and Early Access

Portions of the Services may be designated as beta, preview, early access, or experimental. Such features are provided for evaluation purposes and may be unstable, incomplete, or subject to significant change. Do not rely on beta features for production systems or critical data without appropriate safeguards.

We may discontinue beta features at any time without notice or liability.

5. Subscriptions and Payment

Billing

Paid plans are billed in advance on a recurring basis (monthly or annual, as selected). You authorize us to charge your payment method at each renewal period. You are responsible for all applicable taxes.

Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial periods, except where required by applicable law.

Price changes

We may change subscription pricing with at least 30 days' notice. Continued use after the effective date constitutes acceptance of the new pricing.

License suspension

We may suspend your license for non-payment, violation of these Terms, or suspected fraud. We will provide notice where practicable.

6. Intellectual Property

Supernal and its licensors own all intellectual property rights in the Services. These Terms do not transfer any ownership to you. Your use of the Services does not grant you any rights in our trademarks, logos, or branding.

Your content: You retain ownership of all code, data, and content you create using the Services. We do not claim ownership of your work product.

Feedback: If you provide feedback or suggestions, we may use them to improve the Services without obligation to you.

7. Third-Party Services

The Services integrate with third-party AI providers (OpenAI, Anthropic, and others), developer tools, and communication platforms. Your use of those services is subject to their own terms and privacy policies. Supernal is not responsible for the conduct, availability, or data practices of third-party services.

When agents make API calls to third-party services using your credentials, you are the account holder responsible for those requests and any resulting costs or policy violations.

8. Warranties and Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

SUPERNAL DOES NOT WARRANT THAT: (A) THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE; (B) AI AGENTS WILL BEHAVE PREDICTABLY OR PRODUCE ACCURATE RESULTS; (C) ANY ERRORS WILL BE CORRECTED; OR (D) THE SERVICES WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS.

AI SYSTEMS ARE INHERENTLY PROBABILISTIC AND MAY PRODUCE UNEXPECTED, INCORRECT, OR HARMFUL OUTPUT. SUPERNAL MAKES NO WARRANTY REGARDING THE ACCURACY, RELIABILITY, OR SAFETY OF AI AGENT BEHAVIOR.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SUPERNAL AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of data, files, or code resulting from agent actions
  • API costs incurred through your credentials by agents
  • Unintended messages, commits, deployments, or other irreversible agent actions
  • Loss of profits, revenue, goodwill, or business opportunities
  • System downtime or service interruptions

EVEN IF SUPERNAL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

SUPERNAL'S TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICES IS LIMITED TO THE GREATER OF: (A) THE AMOUNT YOU PAID FOR THE SERVICES IN THE 12 MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED US DOLLARS ($100).

SOME JURISDICTIONS DO NOT ALLOW EXCLUSION OF CERTAIN WARRANTIES OR LIMITATIONS ON LIABILITY. IN THOSE JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE MINIMUM EXTENT PERMITTED BY LAW.

10. Indemnification

You agree to indemnify and hold harmless Supernal and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Services, including actions taken by agents you configure
  • Your violation of these Terms
  • Your violation of any applicable law or third-party rights
  • Any content you create or share using the Services

11. Termination

Either party may terminate these Terms at any time. You may stop using the Services and cancel your account. We may terminate or suspend your access immediately, without notice, for material breach of these Terms, illegal activity, or failure to pay.

Upon termination, your license to use the Services ends. Sections 1 (agent responsibility), 6, 8, 9, 10, and 12 survive termination.

12. Governing Law and Disputes

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the state or federal courts located in Santa Clara County, California, and you consent to personal jurisdiction there.

Before initiating formal proceedings, you agree to contact us at legal@supernal.ai and attempt to resolve the dispute informally for at least 30 days.

13. Changes to These Terms

We may update these Terms. We will notify you of material changes by email or prominent in-app notice at least 14 days before the changes take effect. Continued use after the effective date constitutes acceptance. If you do not accept the updated Terms, you must stop using the Services.

14. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Supernal regarding the Services. They supersede all prior agreements, representations, or understandings relating to the Services.

If any provision is found invalid or unenforceable, the remaining provisions remain in full force. Failure to enforce any right is not a waiver of that right.
